These are all examples of Contract Disputes. Simply stated, someone has failed to perform under an Agreement or other understanding. Contract can be “express,” meaning that the terms have been reduced to writing. But there are also “quasi-contracts” that are enforceable by the because of the actions of the parties even though there is no signed agreement. The law has developed concepts such as “unjust enrichment” and “quantum meruit” which are intended to provide justice in the absence of an executed contract. Many times, performance by one party will demonstrate that an agreement does in fact exist.

Even when contracts and agreements are written and signed, disputes can arise as to the meaning of certain essential terms. The courts have developed concepts to get to the heart of what the parties really intended in their agreement. For instance, the court may look at whether an essential term of the agreement presents a “patent ambiguity” or “latent ambiguity.”
